Minimum Advertised Price (MAP) Policy

To protect the brand reputation of Zenlightful Snacks, LLC ("Zenlightful") and ensure fair competition among our valued retail partners, we have unilaterally adopted this Minimum Advertised Price (MAP) Policy.

This policy applies to all resellers, distributors, and retailers ("Resellers") of Zenlightful products in the United States.

The Policy Statement

Zenlightful has established a Minimum Advertised Price ("MAP") for selected products. Resellers may not advertise Zenlightful products at a price lower than the MAP established by Zenlightful.

• Current MAP: The MAP for all products corresponds to the MSRP listed in the chart at the end of this policy (or as updated by Zenlightful via future notice).
• Applicability: This policy applies to all advertisements of Zenlightful products in any and all media, including but not limited to: flyers, posters, email newsletters, social media, and all internet listings (including Amazon, Walmart.com, and retailer websites).

Definition of "Advertising"

To prevent price-matching algorithms from devaluing our brand, Zenlightful strictly defines "Advertising" to include any public display of price.

Prohibited Practices: It is a violation of this MAP policy to use technical features that circumvent visible pricing, including but not limited to:

• "Click for price" buttons.
• "See price in cart" or "Add to cart for lower price" features.
• Strike-through pricing (e.g., showing a crossed-out higher price next to a discounted price) if the final price is below MAP.
• Coupon codes displayed publicly on the product page (e.g., "Use code SAVE20 for 20% off").

Permitted Practices:

• Private Negotiation: It is not a violation for a Reseller to sell to an end-consumer at a lower price, provided the negotiation is private, one-to-one, and not publicly indexed (e.g., a custom quote sent via secure email from the Reseller to a specific client, or a private invoice generated by the Reseller).

Bundling Prohibition

To prevent the creation of unauthorized product listings (ASINs) on third-party marketplaces:

• Strict Ban: Resellers are prohibited from bundling Zenlightful products with any other products (whether Zenlightful branded or third-party) without the express written permission of Zenlightful.
• Calculated Value: If a bundle is authorized in the future, the advertised price of the bundle must be equal to or greater than the sum of the MAP prices of the individual products.

Exceptions

Zenlightful allows the following limited exceptions to this MAP Policy:

• Short-Dated Product: Resellers may advertise products below MAP if the product is within sixty (60) days of its expiration date, PROVIDED that the advertisement clearly discloses the "Best By" date or marks the item as "Short Dated" or "Expiring Soon."
• Discontinued Product: Resellers may advertise products below MAP if Zenlightful has publicly announced that the specific SKU has been discontinued.
• Employee Sales: Resellers may sell products to their employees at a discount for personal use, provided these offers are not publicly advertised.

Enforcement

Zenlightful monitors advertised prices daily. In the event of a violation, we will employ a "Three Strikes" enforcement policy:

• 1st Violation: Written warning. The Reseller will have 24 hours to correct the pricing.
• 2nd Violation: Suspension of wholesale ordering privileges for 30 days.
• 3rd Violation: Termination of the Authorized Reseller relationship and permanent ban.

Policy Updates

Zenlightful Snacks LLC reserves the right to modify, suspend, or discontinue this MAP Policy or update specific MAP prices at any time. Zenlightful will provide notice of any such changes to the Reseller via email. Zenlightful reserves the right to cancel any pending orders and cease business with any Reseller found to be in violation of this policy.
